DEFINITIONS

Art Delivery Services (“ADS”): Refers collectively to Art Delivery Service, its affiliates, subsidiaries, divisions, officers, employees, and agents. ADS may also be referred to as the “Carrier,” “Warehouse,” “Warehouseman,” or “Service Provider.”

Client: Refers to any person, entity, or organization that engages ADS to collect, deliver, handle, place, position, relocate, transport, store, pack, crate, or otherwise provide services for artwork or other valuable items. This includes anyone acting as an agent or representative of the Client or having an ownership interest in the property handled by ADS.

Consignee: The recipient of the property transported or handled by ADS or its subcontractors.

Declared Value: The value of the property declared by the Client to increase ADS’s limitation of liability. Declared values must be documented in ADS’s Waybills, Bills of Lading, or Storage Agreements.

NVD: Refers to “No Value Declared” when the Client does not declare a value for the property. ADS’s liability in such cases is limited as outlined in these terms.

Property: Includes but is not limited to fine art, antiques, collectibles, and other items entrusted to ADS for storage, transportation, packing, or related services.

Services: Refers to any activity performed by ADS, including transportation, packing, crating, storage, delivery, and consulting related to the handling of property.

Subcontractors: Third parties retained by ADS to perform services on its behalf, such as transport carriers, freight forwarders, or warehouse operators.

TERMS OF SERVICE

Authorization and Subcontracting
Clients authorize ADS to endorse bills of lading, waybills, or warehouse receipts on their behalf for the performance of services. ADS may subcontract its services to trusted third parties and subcontractors, who shall operate under the same limitations of liability as ADS.

Payment Terms
Quotes and Estimates: Estimates provided by ADS are based on information provided by the Client and may change if the scope of work changes or if the actual dimensions are larger than the dimesnions originally provided..

Payment Requirements: Payment in full is required at the time of booking unless otherwise agreed in writing. Late payments are subject to a 1.5% monthly fee on the outstanding balance.

Accepted Payment Methods: Credit cards, wire transfers, and checks are accepted. Additional fees may apply for returned checks or declined payments.

Cancellation and Rescheduling
– Cancellations made at least 48 hours in advance of a scheduled service will not incur penalties.
– Cancellations within 48 hours of a scheduled service may incur a cancellation fee.
– Rescheduling is subject to availability and may result in additional fees.

LIMITATION OF LIABILITY

Standard Liability
Unless otherwise specified, ADS’s liability is limited to $0.60 per pound of the actual weight of the property. This limitation may be increased if the Client declares a value for the property and pays applicable additional charges.

Exclusions from Liability
ADS is not liable for:
Pre-existing damage, repairs or defects in the property.
Losses resulting from wear and tear, deterioration, or inherent defects.
Damage caused by force majeure events such as natural disasters, acts of war, terrorism, or governmental actions.
Losses caused by improper or insufficient packing when not performed by ADS.
Damage caused by temperature, weather, humidity or other environmental factors that are beyond our control.

Insurance
Clients may purchase additional insurance through ADS for declared value coverage. ADS is not liable for any claims exceeding the declared value specified in the service agreement.

STORAGE AGREEMENTS

Storage services are provided on a month-to-month basis unless otherwise outlined in a written agreement.
Storage charges are based on the size, value, and duration of storage.
Stored items must comply with all applicable regulations. Prohibited items, including hazardous materials, are not accepted.

SPECIAL SERVICES

Dedicated or Exclusive Use Shuttle
Clients with specific timelines, large collections, or exceptionally valuable items may opt for ADS’s Dedicated Shuttle Service, which guarantees exclusive use of the truck and customized scheduling.

Examples: Transporting a Georgia O’Keeffe painting with no additional stops or delivering an entire collection requiring the full capacity of the truck.

This service offers unparalleled safety, convenience, and customization.

DISPUTE RESOLUTION

All disputes shall be governed by the laws of the State of New Mexico.
Clients agree to resolve disputes through mediation or arbitration before initiating legal proceedings.
